Fraud, also known as intentional misrepresentation, arises in a business transaction when a party makes materially false statements, or intentionally omits material facts, to induce you or your business into the transaction. This can occur in a many ways and regularly appears in the purchase and sale of a business, real estate transactions, lending agreements, and other contractual disputes. Oftentimes, the fraud is conducted through non-disclosure, concealment, and deceit.

The Elements of Fraud

To prevail on a cause of action for fraud requires proving:
  • A misrepresentation of a material fact, which includes a concealment or non-disclosure;
  • Knowledge of the falsity of the misrepresentation;
  • Intent to induce reliance on the misrepresentation;
  • Justifiable reliance; and
  • Resulting damages. Small v. Fritz Companies, Inc., 30 Cal.4th 167, 173 (2003).
Every case is different. Often a claim of fraud will also raise a number of similar causes of action, such as a violation of the Fraudulent Transfer Act or the Racketeer Influenced and Corrupted Organizations Act (RICO), negligent misrepresentation, theft, embezzlement, conversion, false advertising, unfair competition and unfair business practices. Even when the wrongdoer did not intend for the misrepresentation, liability may attach due to negligence. This is referred to as negligent misrepresentation.
